Creator Network Agreement

1. Nature of the Relationship

The Creator is engaged strictly as an independent contractor. This Agreement does not create any employer-employee, partnership, franchisee, agency, or fiduciary relationship. The Creator has no authority to bind Nidhi Arpan, make representations on its behalf beyond material formally issued by Nidhi Arpan, or invoice Organizations directly for platform fees.

2. Commission — Flat 10% (Ten Percent)

• Nidhi Arpan shall pay the Creator a flat commission of 10% (ten percent) of the net subscription fee, exclusive of Goods & Services Tax and payment-gateway charges, actually received by the Platform for every first-time paid activation of an Organization that reaches the Platform via the Creator's unique referral link and completes either a Tier 0 Festival Pass or a Tier 1 SaaS subscription within the attribution window recorded in the referral log.
• The prevailing rate is authoritatively displayed in the Creator dashboard under “Active Commission Rate” and is sourced from the referral_configregistry. In the event of a conflict between this clause, marketing copy, or any third-party channel material, the value stored in the registry (currently 10%) shall prevail.
• A Custom Rate individually negotiated and recorded by the Nidhi Arpan finance team on the Creator's account supersedes the standard 10% rate for that Creator only, for the duration recorded on the account.
• Recurring renewals of the same Organization's subscription do not attract a fresh commission; commission is payable strictly on the first paid activation unless the Creator's Custom Rate expressly provides otherwise.

3. Payouts, TDS & Banking Fees

• Minimum Withdrawal: A withdrawal may be requested only once the Creator's available wallet balance reaches ₹500.
• Statutory TDS: Nidhi Arpan will deduct Tax Deducted at Source at 10% on aggregate commission earnings in each Financial Year only after total FY-cumulative gross payouts exceed ₹50,000. Every subsequent withdrawal in the same FY attracts 10% TDS on the taxable slice.
• Bank Transfer Fee: A fixed ₹5 banking-rail fee (or the then-prevailing configured amount) is debited per successful withdrawal.
• Time-to-Cash: Approved withdrawals are settled to the Creator's verified bank account or UPI handle within twenty-four (24) hours of finance initiation.
• TDS Statement: A signed TDS-inclusive payout statement is generated for every successful withdrawal and is downloadable from the Creator dashboard for CA / tax filing purposes.

4. Eligibility, KYC & Attribution

• The Creator warrants that they are an Indian resident at least eighteen (18) years of age and shall furnish a valid PAN, verified mobile number, and bank / UPI credentials for payout.
• Attribution is recorded at the moment the Organization completes its first paid activation via the Creator's unique referral link. Manual back-attribution is at Nidhi Arpan's sole discretion and only where a bona-fide first-click record exists.
• Commissions may be refused, delayed or clawed back for any activation later found to be fraudulent, self-referred, duplicated, chargeback-reversed, or generated by prohibited techniques (spam, incentivized clicks, mis-representation of the Platform, deep-fake screen recordings, etc.).

5. Brand, Content & Conduct

• The Creator shall accurately represent the Platform's features and pricing, shall not make guarantees about tax outcomes or regulatory approvals, and shall not disparage competitors.
• The Creator may use screenshots, logos and press-kit material downloaded from /collaborator/press-kit. All such assets carry an auto-applied Nidhi Arpan watermark; removing, obscuring or defacing the watermark is a material breach of this Agreement.
• The Creator shall not run paid advertising on Nidhi Arpan's brand keywords, register look-alike domain names, operate impersonating social handles, or misuse the Nidhi Arpan trademarks in any manner.

6. Programme Variations & Termination

• Nidhi Arpan reserves the right to revise the commission rate, minimum payout threshold, TDS treatment, banking fee, or any other parameter at any time, with revised parameters becoming binding on posting to the /collaborator dashboard.
• Continued use of the referral link, sharing of press-kit assets, or receipt of a payout after such an update constitutes complete and unconditional acceptance of the revised Programme Terms.
• Nidhi Arpan may suspend or terminate a Creator's participation without prior notice for material breach, misconduct, brand misrepresentation, or non-completion of KYC. Accrued but unearned commissions may be forfeited in such cases.

7. Governing Law & Dispute Resolution

This Agreement is governed exclusively by the substantive laws of the Republic of India. Any dispute shall first be attempted to be resolved amicably within thirty (30) days of written notice, failing which it shall be referred to binding sole-arbitrator arbitration under the Arbitration and Conciliation Act 1996, with seat and venue at Mumbai, Maharashtra, India. Subject to the arbitration clause, the competent civil courts of Mumbai shall have exclusive jurisdiction.
